1. Scope of Services
The website describes technical support and operational services provided on a freelance basis.
Services are provided remotely and may include website maintenance, infrastructure monitoring, QA assistance, development, and operational support. All services are of a strictly technical nature.
Specific services, scope, and conditions are agreed individually with each client.
No financial, legal, or investment services are provided.
Services are offered exclusively to business clients (B2B) and not to consumers within the meaning of § 13 BGB
2. Contract Formation
All service descriptions on this website are non-binding and do not constitute a legally binding offer.
A contract is concluded only upon written confirmation (email is sufficient) or acceptance of an individual offer.
3. Fees and Payment
Fees are agreed individually with each client and specified in the respective offer or invoice.
All amounts are stated in Euro (EUR).
Payment may be made by bank transfer or by card via invoice, where available.
Unless otherwise agreed in writing, invoices are payable within 14 days from the invoice date.
In the event of delayed payment, a payment reminder may be issued. The service provider reserves the right to suspend ongoing services until outstanding payments are received.
Value Added Tax (VAT) will be charged where applicable in accordance with German tax regulations.
4. Client Responsibilities
The client shall provide all necessary information, documentation, and access credentials required for the provision of services in a timely and complete manner. The client remains responsible for the legality, accuracy, and integrity of their own content, systems, and business activities. The client is responsible for maintaining appropriate backup copies of their data and systems (unless otherwise expressly agreed in writing). The client further acknowledges that any business, operational, or reputational risks associated with the use of their systems, platforms, or services remain solely their responsibility.
Responsibility for consequences arising from incomplete information, lack of cooperation, or decisions made by the client remains with the client.
5. Limitation of Liability
Liability for damages is limited to cases of intentional misconduct or gross negligence.
In cases of slight negligence, liability is limited to foreseeable, typically occurring damages arising from the contractual relationship.
Mandatory statutory liability remains unaffected.
6. Confidentiality
Both parties agree to treat all non-public, confidential, or proprietary information received in the course of the contractual relationship as strictly confidential.
Confidential information shall be used solely for the purpose of performing the agreed services and shall not be disclosed to third parties without prior written consent, unless required by law.
This obligation shall remain in effect beyond the termination of the contractual relationship.
7. Applicable Law
These Terms and any contractual relationship between the parties shall be governed by the laws of the Federal Republic of Germany.
Place of jurisdiction for all disputes arising from the contractual relationship shall be the registered place of business of the service provider.
